**Terms of Service and Payment for Wholesale Orders**

Please carefully read and understand the following Terms of Service and Payment ("Terms") before placing a wholesale order with [Blue Pumpkin Seed Co. ("Seller," "We," "Us," or "Our"). By placing an order with Us, you agree to be bound by these Terms.

 

**1. Wholesale Orders:**

 

1.1. Wholesale Eligibility: Wholesale orders are available to businesses, resellers, and distributors who meet our wholesale eligibility criteria. You may be required to provide documentation to establish your eligibility.

 

1.2. Order Placement: Larger seed quantities are offered to our larger growers at a discounted rate. 

 

1.3. Product Availability: Availability of products may vary and is subject to change without notice.

 

**2. Pricing and Payment:**

 

2.1. Pricing: Larger seed count prices are subject to change without notice. All prices are quoted in the currency specified at the time of the order.

 

2.2. Payment Methods: We accept payment by credit card, Paypal, Afterpay, or other agreed-upon payment methods. If you are paying with a check, your order will be shipped after the check has cleared. Payment details will be provided upon order confirmation.

 

2.3. Payment Terms: Payment for wholesale orders is due in full before shipment unless otherwise agreed upon in writing by both parties.

 

2.4. Taxes and Duties: You are responsible for any applicable taxes, customs duties, or other charges associated in your jurisdiction with your wholesale order.

**3. Shipping and Delivery:**

 

3.1. Shipping Charges: Shipping charges are the responsibility of the Buyer unless otherwise stated in writing by the Seller.

 

3.2. Delivery Timeframes: Orders may have longer processing times due to the larger volume of seeds. You will receive an order confirmation once your order has shipped.

 

3.3. Title and Risk of Loss: Title and risk of loss pass to the Buyer upon delivery of the products to the carrier. It is the Buyer's responsibility to file any claims with the carrier for damaged or lost shipments.

 

**4. Returns and Refunds:**

 

4.1. Returns: Wholesale orders are final and non-returnable, except in cases of damaged or defective products. Claims for damaged or defective products must be submitted via email within 30 days of receipt from January - August, and 60 days during during growing season.

 

4.2. Refunds: Refunds for damaged or defective products will be processed upon approval of the claim and may be issued as a back to your original payment method or via a business check sent to the address on file. 

 

**5. Product Warranty:**

 

5.1. Product Warranty: We make no warranties, express or implied, regarding the products. Any warranties will be provided by the manufacturer, if applicable. If you select seeds grown by our farm, we will be responsible for the warranty. Please email us with any concerns. 

 

**6. Privacy and Data:**

 

6.1. Privacy: We will collect and process your personal and business data in accordance with our Privacy Policy, which is available on our website. We do not and will never sell customer information to any 3rd party.

 

**7. Termination:**

 

7.1. Termination: Seller reserves the right to terminate or refuse wholesale orders at our discretion, without prior notice.

 

**8. Governing Law and Dispute Resolution:**

 

8.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction].
